1. Introduction

Welcome to Victorianstar, a B2B e-commerce marketplace designed to connect buyers and sellers across Uganda and East Africa. These Terms and Conditions (hereafter referred to as “Terms”) govern the use of the Victorianstar platform by sellers. By registering as a seller, you agree to follow and be bound by these Terms. Please read them carefully.

2. Definitions

  • Platform: Refers to the Victorianstar website and any associated services provided by Victorianstar.
  • Seller: Any business entity that registers on the Victorianstar platform to list and sell products.
  • Buyer: Any individual or entity that purchases products from Sellers via the Victorianstar platform.
  • Products: Goods listed by Sellers for sale on the Victorianstar platform.
  • Transaction: Any sale, purchase, or other exchange of products through the Victorianstar platform.
  • URSB: Uganda Registration Services Bureau, the national body responsible for business registration in Uganda.
  • TIN: Tax Identification Number, issued by the Uganda Revenue Authority (URA).

3. Seller Eligibility

To be eligible to register and sell on Victorianstar, you must:

  1. Be a legally registered business with URSB.
  2. Hold a valid TIN issued by URA.
  3. Provide accurate and complete information during the registration process.

4. Registration Process

  • Mandatory Information: You must provide your registered business name, TIN, and physical address. All information must be accurate and up-to-date.
  • Verification: Victorianstar verify your registration information with URSB and URA. We reserve the right to suspend or terminate your account if we find any discrepancies.
  • Approval: Upon submission, your registration will be reviewed by our team. You will be notified of your approval status via email.

5. Seller Obligations

As a Seller on Victorianstar, you agree to:

  1. Compliance: Abide by all applicable laws and regulations, including tax obligations under URA.
  2. Product Listings: Ensure that all product listings are accurate, not misleading, and comply with Victorianstar’s content policies.
  3. Inventory: Maintain sufficient inventory to fulfill orders promptly.
  4. Shipping: Arrange for the timely shipping of orders. Sellers are responsible for all shipping costs unless otherwise agreed with the Buyer.
  5. Customer Service: Provide responsive and professional customer service, including handling returns, refunds, and complaints.

6. Prohibited Products and Activities

You are prohibited from listing or selling the following:

  • Counterfeit or stolen goods.
  • Hazardous materials, unless legally compliant and properly labeled.
  • Products that infringe on intellectual property rights.
  • Products banned or restricted under Ugandan law.
  • Engaging in any activities that could harm Victorianstar’s reputation or operations.

7. Fees and Payments

  • Listing Fees: Victorianstar does not charge a fee for listing products.
  • Transaction Fees: A 2.5% fee is deducted from each transaction on the platform. This fee covers operational costs, including payment processing.
  • Payment Terms: Payments to Sellers will be disbursed monthly to the bank account provided during registration.

8. Intellectual Property

  • Ownership: All intellectual property rights in the products listed remain with the Seller.
  • License: By listing products on Victorianstar, you grant us a non-exclusive, royalty-free license to use, display, and promote your product listings on the platform.

9. Dispute Resolution

  • Buyer Disputes: Victorianstar will assist in mediating disputes between Buyers and Sellers. However, we are not liable for resolving disputes.
  • Platform Disputes: Any disputes arising directly with Victorianstar will be resolved through arbitration in Kampala, Uganda, in accordance with Ugandan law.

10. Limitation of Liability

Victorianstar is not liable for:

  • Any indirect, incidental, or consequential damages resulting from the use of the platform.
  • Losses due to Seller’s failure to comply with legal obligations, including tax regulations.

11. Termination

  • By Seller: You may terminate your account at any time by notifying Victorianstar in writing.
  • By Victorianstar: We reserve the right to terminate your account if you violate these Terms or engage in fraudulent or unlawful activities.

12. Amendments

Victorianstar reserves the right to amend these Terms at any time. Sellers will be notified of any changes via email or platform announcements. Continued use of the platform constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Uganda. Any legal actions arising out of or related to these Terms must be brought in the courts of Kampala, Uganda.
